The extension of the possibility of online certification of commercial register filings has also led to simplified formation of a GmbH or entrepreneurial company. On the basis of the EU Directive on digitalisation, the Federal Council has approved the extension of online certification and thus removed the existing restriction to certain legal entities such as sole traders, GmbHs and stock corporations. The procedure is also extended to filings in the partnership, cooperative and association registers. It provides that the notarial procedure of online notarisation can also be applied to unanimously adopted resolutions to amend the articles as well as to GmbH formations by contribution in kind and powers of attorney for formation. The new act even goes beyond the European requirements and also provides for an extension of the possibilities of notarisation by video communication in the Federal Notaries Act.The new simplified procedure is regulated in section 2 of the Limited Liability Companies Act and in sections 16a et seq. of the Notarisation Act and in the Federal Notaries Act and essentially comprises the following steps:Identification of the parties is carried out by means of two factor authentication using an EU identity document. The identity document must have an electronic identification function.In the next step the photograph on the identity document is read out electronically. The notary must also compare the photograph with the appearance of the person participating in the online session.The notary then draws up an electronic record of the online session pursuant to section 16b of the Notarisation Act.All parties and the notary sign this electronic record using a qualified electronic signature pursuant to section 16b paragraph 4 sentence 1 of the Notarisation Act.The act will for the most part enter into force on 1 August 2022.
