The judgment of the higher regional court of Celle concerned an English Limited company with its registered office under its articles and registration in the Companies House in the United Kingdom, which had transferred its administrative seat to Germany. Its branch office had been registered in the German commercial register since April 2009. The complainant was the sole shareholder and only corporate body of the Limited. In May 2022 the registry court ordered the complainant, under threat of a penalty payment of 1,500 euros, to register the dissolution of the branch office with the commercial register pursuant to section 31 paragraph 2 of the Commercial Code due to cessation of the business. The higher regional court of Celle set aside this order.Due to Brexit and the expiry of all transitional periods on 31 December 2020, a branch office of a Limited governed by English law whose actual administrative seat is located solely in Germany no longer exists and has lost its legal capacity. A legal entity that no longer exists can no longer have any acting corporate bodies. This also applies to the complainant. He therefore could not file any registration.Furthermore, an order imposing a penalty payment must specify the obligations in such detail and describe the conduct required under the threat of the penalty in such a comprehensible way that the appeal court can review whether the obligation has been fulfilled and that the person concerned can comply with the order without difficulty.
